will pay you $0.03 per click-through. SWBYP
has no obligation to pay you for visits to
the SMARTpages.com site that were not
generated by means of a valid search or
otherwise do not fit the above definition of
a click-through from a hyperlink, graphical
logo, or ad banner. SWBYP will pay you on a
quarterly basis. Within 30 days or a
reasonable time after the end of each
calendar quarter, SWBYP will send you a
check for the amount earned during that
quarter, less any taxes that SWBYP may be
required to withhold. However, if the amount
you earned during any calendar quarter is
less than $50, then SWBYP will hold that
payment until the quarter in which the total
amount due is at least $50 or (if earlier)
until this Agreement is terminated. If
Agreement is terminated, no payments will be
made to affiliate unless a total of $50.00
is reached. If SMARTpages.com's records show
activity from the SMARTlinks on your site
that SMARTpages.com determines is
inconsistent with valid SMARTlink requests,
or is otherwise unusual, then SWBYP reserves
the right to withhold payment for a
reasonable time pending an investigation of
that activity by SWBYP and resolution of the
dispute (if any). SWBYP will notify you
promptly in this event.
